1. Agreement and Acceptance

These Terms of Service (the "Terms") constitute a binding legal agreement between you (the "Customer" or "User") and Lenox International Holdings Group, LLC (LIHG) and/or its applicable operating brands (collectively, the "Company," "we," "us," or "our"). By accessing, using, or purchasing services from LIHG or any of its operating brands, you acknowledge that you have read, understood, and agree to be bound by these Terms. These Terms apply to all services and products provided by LIHG and its portfolio companies, including but not limited to consulting services, digital platforms, templates, training programs, publications, and media content.

2. Services Description

LIHG provides a diverse portfolio of business services and products through its operating brands:

• Consulting and Advisory Services: Strategic guidance, implementation support, and operational enablement for business growth and compliance.
• Digital Products and Subscriptions: Access to resource libraries, templates, training materials, and digital platforms.
• Training and Coaching: Live and recorded educational programs, workshops, webinars, and one-on-one coaching.
• Publishing and Media Services: Content creation, publication layout, editing, and media distribution.
• Event Hosting: Conferences, networking events, and program participation.

3. User Responsibilities

As a user of LIHG services, you agree to:

• Provide accurate and complete information when registering or making purchases.
• Maintain the confidentiality of account credentials and not share login information with unauthorized third parties.
• Use services for lawful purposes only and in accordance with all applicable federal, state, and local laws.
• Not engage in any activity that could harm, disrupt, or compromise the integrity of LIHG systems or services.
• Comply with all intellectual property restrictions and content usage guidelines.
• Notify LIHG immediately of any unauthorized access or security breaches.

4. Account and Access

LIHG may require the creation of an account to access certain services. You are responsible for maintaining the confidentiality of your account information and password. LIHG is not liable for any unauthorized use of your account or data breaches resulting from your failure to protect account credentials. You may not transfer, sell, or assign your account to any third party without express written consent from LIHG.

LIHG reserves the right to suspend or terminate account access for violation of these Terms, non-payment, or other breach of this agreement.

5. Payment Terms and Billing

Payment terms vary by service and are specified at the time of purchase. Standard payment methods include credit card, bank transfer, and other methods as offered. By providing payment information, you authorize LIHG to charge your account for services rendered, including any applicable taxes or fees.

Charges may appear on your statement under the name of the specific operating brand providing the service. LIHG reserves the right to adjust pricing with 30 days' notice for ongoing subscriptions.

If payment is declined, LIHG will attempt to collect payment using alternative methods on file. Failure to pay may result in service suspension or account termination.

6. Refunds and Cancellations

Refund eligibility and cancellation policies vary by service type and are detailed in the applicable Refund Policy. Generally:

• Digital Products: Non-refundable upon download or access.
• Subscriptions: May be cancelled at any time; refunds for unused portions may apply per refund policy.
• Services and Consulting: Refund eligibility depends on service completion status and client satisfaction; refund requests must be submitted within 30 days of service delivery.
• Training and Events: Cancellations must be submitted at least 7 days before the event; refunds subject to administrative fees.

7. Intellectual Property

All content provided by LIHG, including but not limited to text, templates, graphics, logos, images, software, and multimedia materials, is the exclusive property of LIHG or its content providers and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use such content solely for your personal or business use in accordance with these Terms.

You may not reproduce, modify, distribute, transmit, or create derivative works from LIHG content without express written permission. Unauthorized use of LIHG intellectual property is prohibited and may result in legal action.

8. Limitation of Liability

To the fullest extent permitted by law, LIHG shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use our services, including loss of revenue, business interruption, data loss, or loss of profit. This limitation applies regardless of the legal theory (contract, tort, strict liability, or otherwise).

Our total liability to you for any claim shall not exceed the amount you paid to LIHG in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless LIHG, its officers, directors, employees, agents, and successors from any claims, damages, losses, and expenses (including attorney's fees) arising from or related to your use of our services, violation of these Terms, or infringement of third-party rights.

10. Modifications to Terms

LIHG reserves the right to modify these Terms at any time. Changes will be effective upon posting to our website or notification to customers. Your continued use of services following such modifications constitutes your acceptance of the updated Terms. If you do not agree to changes, you must discontinue use of our services.

11. Disclaimer of Warranties

LIHG provides services on an "as-is" basis without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. LIHG does not warrant that services will be error-free, secure, or uninterrupted.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to conflicts of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Fulton County, Georgia, and you hereby consent to the jurisdiction and venue of such courts.
